§ 1. General Provisions and Platform Status

  1. The Digimarket.info service is solely an ICT platform enabling the publication of listings and establishing contact between Users.
  2. The Service Provider is not a party, commercial intermediary, agent, or representative of sale, license, or copyright transfer agreements concluded between the Buyer and the Seller.
  3. The agreement for the sale of assets (code, domain, database, copyrights) is concluded directly and exclusively between the Buyer and the Seller at their own risk and expense.

§ 2. Warranty Disclaimer and the "As-Is" Principle

  1. All projects, software, source code, and domains presented on the Service are offered "as is" and "with all faults."
  2. The Service Provider makes no warranties (express or implied), including warranties of merchantability, fitness for a particular purpose, or the absence of hidden defects in the source code.
  3. The obligation to conduct a legal, technical, and financial review (due diligence) rests solely with the Buyer prior to finalizing the transaction.

§ 3. Financial Data and Project Metrics

  1. Any data regarding revenue (MRR, ARR), number of users, site traffic, or profits presented in a listing are solely statements made by the Seller.
  2. The Service Provider does not conduct any auditing or accounting verification of financial data and is not liable for its truthfulness, reliability, or accuracy.
  3. Information contained on the Service does not constitute investment, financial, or tax advice.

§ 4. Copyright and Seller Liability

  1. The Seller represents and warrants that they hold full, unrestricted, and exclusive economic copyright to the offered project/code and the right to transfer it.
  2. Should any third-party claims be brought against the Service Provider in connection with an infringement of intellectual property rights by the Seller's project, the Seller undertakes to step into the Service Provider's place in the dispute and to cover all damages and legal representation costs.

§ 5. Fees and Listing Publication

  1. Submitting a listing is free of charge, and the formal and technical review of the entry by the Service's moderator is performed at no cost. The Operator charges no sales commission.
  2. The only optional paid service is the Premium Listing ($49) — a one-time promotional upgrade (featured homepage placement, verified seller badge, priority support). It is neither a listing fee nor a sales commission; once the promotional service has been delivered, the fee is non-refundable.

§ 6. Payments and External Escrow

  1. Digimarket.info provides information intermediary services and does not operate its own escrow accounts. Financial settlements are carried out directly between the parties or through licensed payment providers.
  2. Payment settlements and escrow deposit handling are carried out by external, independent payment service providers (e.g., Stripe, Escrow.com).
  3. The Service Provider is not liable for delays, fund holds, bank fees, payment rejections (chargebacks), or disputes arising during payment processing by third parties.

§ 7. Limitation of the Service Provider's Liability

  1. To the maximum extent permitted by law, the Service Provider's total liability for damages of any kind towards a non-consumer User is limited to the amount actually paid by that User to the Service within the 3 months preceding the event causing the damage (or USD 100 if no fee was charged).
  2. Under no circumstances shall the Service Provider be liable for lost profits, business interruption, or indirect damages.

§ 8. Governing Law and Jurisdiction

  1. The governing law for all agreements and disputes related to the use of the Service is the law of the Republic of Poland.
  2. Any disputes between the Service Provider and non-consumer Users shall be resolved exclusively by the common court having jurisdiction over the Service Provider's registered office.
